1. Any Product or service whatever supplied
by China Company Information Ltd ("CCRS") to any
buyer ("Customer") of such Products or services
will be provided subject to the following terms and conditions.
The word "Product" in these terms and conditions
will include any information or advice supplied to a customer,
whether in writing or orally and by whatsoever medium delivered
to the customer; equally whether produced to specific commission
or drawn by the customer from an existing electronic or other
database or library managed or owned by CCRS.
2. While CCRS will make
every effort to supply accurate information, and to provide
the most objective and relevant assessment of this information,
it will not accept any liability for any damage either directly
or consequentially caused to Customers through the Customer's
use or misuse of information or advice contained in or accompanying
any Product provided by CCRS, whether this information or
advice be accurate or inaccurate. Nor will CCRS accept any
liability for loss or damage (whether directly or consequentially
caused) to the Customer resulting from the untimely delivery,
or delivery to the wrong physical or electronic address, of
any Product. CCRS Products and services are intended for use
as part of a package of research and assessment data to be
amassed by the customer. They are not designed to be relied
upon as a sole basis for decision making.
3. The Customer will
provide in writing full and accurate information as to the
identity, address, and contact details of any subject that
CCRS may be instructed by that Customer to research from time
to time. If CCRS provides information on the wrong company,
due to the Customer providing insufficient or inaccurate initial
data for CCRS to identify the company correctly, the Customer
will be liable for the cost of this information as if it had
been on the correct company.
4. CCRS accepts no responsibility
for the condition or accessibility of the Internet at any
time, and will accept no liability for any loss or damage
caused to any customer through inability to access CCRS Products
or services at any time due to problems with the internet.
While CCRS will endeavour to make its services available 24/7,
it will not guarantee this level of service at all times.
5. Except where legally
obliged to do so by a court of law or similar authority, CCRS
Products and services are not to be disclosed to any third
party without express permission in writing of a Director
of CCRS. Where disclosure is legitimately demanded by a competent
court of law, CCRS will expect to be informed by the Customer
of this process as a matter of courtesy.
6. It is a condition
of service by CCRS that Customers will keep entirely confidential
and private any Product received from CCRS. They will not
divulge the existence of such Product to any third party,
including the subject of such Product. Further, Customers
of CCRS will indemnify CCRS against any loss or damage that
CCRS may suffer as either the direct or indirect result of
the disclosure by the customer of the content or existence
of any Product provided confidentially to those Customers.
This applies whether the Product is disclosed in whole, part
or by reference only, to any other party by the Customer or
its employees or agents, in contravention of these terms and
conditions.
7. Except in cases of
gross negligence (as defined by English law), no Customer
will bring any action whatever against CCRS in relation to
the content of any Product (or the supposed or actual effect
of that content), whether such Products refer directly or
indirectly to the Customer, to associates of the Customer,
or to any party whatsoever, and whether such reference be
deemed to be negative or positive.
8. Charges for any CCRS
Product or service will be either the listed price for any
Product prevailing at the time the order is placed by the
customer and accepted by CCRS, or the price for the Product
or service quoted by CCRS and accepted in writing by the customer
(e.g. discounted prices for Prepayment Accounts). Where relevant,
delivery costs are normally included in the price of any Product
or service. In certain cases CCRS may (with the prior agreement
of the customer, in writing) make a charge for exceptional
costs incurred in undertaking or delivering any research/investigation.
This may include (but is not limited to) the purchase of third-party
information, or the cost of national or international courier
delivery.
9. Fees for the purchase of CCRS Products are normally due
in advance of delivery. They are quoted and will be invoiced
in UK£, US$, or Euros. Any bank or other exchange charges
that may be incurred in any transaction with CCRS, in addition
to the actual Product price, are for the account of the Customer.
Payment may be via cash, cheque, credit card, or by bank
transfer
to any account notified by CCRS to the customer. CCRS charges
are subject to VAT where applicable. See 12 and 13 below
for
refund details.
10. CCRS retains copyright
on all material supplied to Customers. No material supplied
to any customer may be resold (in part or whole), copied (in
part or whole), or otherwise passed (in part or whole) to
any other party, for reward of any kind or for any other reason,
except where agreed in advance by CCRS in writing.
11. Any order from a
Customer that is accepted by CCRS for any Product will be
deemed an irrevocable contract and may be not cancelled except
with the written agreement of CCRS (such agreement will not
unreasonably be withheld). If CCRS has already begun work
on any project that it agrees to cancel, a charge may be made
for work undertaken up to the point of cancellation. Where
any Product is delivered more than three days after due date,
without the Customer being informed in advance, CCRS may waive
all or some of its charge for that Product.
12. While it will make
every possible effort to provide material that meets the precise
requirements of it Customers, CCRS makes no prior representation
as to the suitability of any of its Products for the purposes
of its Customers. At its own discretion, CCRS may reduce or
waive its charges for Products that are clearly unsuitable
for a customer's requirements, provided it is satisfied that
these requirements were clearly specified at the time an order
was placed. Any refund will only be granted at the discretion
of the Directors.
13. CCRS reserves the
right at its absolute discretion, and under no obligation
to disclose its reasons, to refuse to accept an order from
any customer, to refuse delivery of a Product to a customer,
and/or to refuse that customer access to the CCRS website.
14. Should CCRS be unable
for any reason, whether death, insolvency, force majeur or
any other reason, to deliver any Product to any Customer where
an order has been accepted, CCRS will accept no liability
for any direct or consequential damage or loss incurred by
the customer due to the non-delivery of the Product. In such
circumstances, CCRS will make no charge to the Customer and
will endeavour to apprise the Customer of the situation at
the earliest opportunity. Payment that has been made in advance
for work that has not been and cannot be completed to terms
will be refunded.
15.All Credits on Pre-payment accounts and
any site credits provided in anyway on the CCRS website have
to be used within 12 months of purchase. Any that are not
utillized for orders purchased will be re-creditied to your
account on request.
16. All transactions between CCRS and its
Customers under this Agreement will be governed by English
law, and
any dispute arising under it shall be referred to the exclusive
jurisdiction of the High Court in London.
